End User License Agreement
This End User License Agreement ("EULA" or "Agreement") is a legal contract between you ("User" or "you") and Glass House Technologies, LLC ("GHT", "we", "us", or "our") governing your access to and use of the OnlyTechs software application and related services (collectively, "OnlyTechs" or the "Service").
1. License grant
Subject to your continued compliance with this Agreement, GHT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use OnlyTechs solely for your internal business purposes, only through the account credentials issued to you by GHT.
2. Restrictions
You agree not to, and not to permit any third party to:
- Copy, modify, distribute, sell, lease, or sublicense any part of the Service;
- Reverse-engineer, decompile, or disassemble the Service except where applicable law expressly permits this activity;
- Use the Service to build a competing product or service;
- Remove or obscure any proprietary notices on the Service;
- Use the Service in violation of any applicable law or regulation, or in a manner that infringes the rights of any third party;
- Access the Service by automated means (other than the public APIs we provide) or in a manner that imposes an unreasonable load on our infrastructure.
3. Accounts and credentials
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at connor.glass@ght.network if you suspect unauthorized access.
4. Third-party services and QuickBooks Online
OnlyTechs integrates with third-party services, including Intuit's QuickBooks Online. Your use of those third-party services is governed by their own terms and privacy policies. OnlyTechs accesses your QuickBooks Online data only with the OAuth scopes you authorize and only for the purposes described in our Privacy Policy. You may revoke that authorization at any time through the disconnect page, the OnlyTechs Integrations panel, or your QuickBooks Online "My Apps" settings.
5. Your data and content
You retain all rights, title, and interest in any data, content, or materials you submit to OnlyTechs ("Your Content"). You grant GHT a worldwide, royalty-free license to host, process, transmit, and display Your Content solely as necessary to provide the Service to you.
6. Intellectual property
All rights in OnlyTechs not expressly granted to you in this Agreement are reserved by GHT and its licensors. The Service, including all software, design, text, graphics, and other content (excluding Your Content), is the property of GHT or its licensors and is protected by intellectual property laws.
7. Term and termination
This Agreement remains in effect until terminated. GHT may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, all rights granted to you under this Agreement immediately cease. Sections 5 through 11 survive any termination.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. GHT MAKES NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY FINANCIAL DATA RETRIEVED FROM THIRD-PARTY SERVICES, INCLUDING QUICKBOOKS ONLINE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. GHT'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
10. Indemnification
You agree to defend, indemnify, and hold harmless GHT and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of this Agreement, or your violation of any rights of a third party.
11. Governing law
This Agreement is governed by the laws of the State of Alabama, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in Cullman County, Alabama, and the parties consent to the personal jurisdiction of those courts.
12. Changes to this Agreement
GHT may modify this Agreement at any time by posting a revised version at this URL. Your continued use of the Service after a revision becomes effective constitutes your acceptance of the revised Agreement.
