Terms of Service

Effective date: June 24, 2026

These Terms of Service ("Terms") govern your access to and use of OnlyTechs (the "Service"), operated by Glass House Technologies, LLC ("GHT," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

OnlyTechs is an internal operations platform used by Glass House Technologies and its authorized personnel, contractors, and partners. Access is granted by invitation and is conditioned on your continuing authorization by GHT. The Service includes scheduling, dispatch, customer and project management, internal communications, and integrations with third-party services such as Intuit QuickBooks Online, Stripe, and Google.

2. Eligibility & Accounts

You must be at least 18 years old and authorized by GHT to use the Service. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at connor.glass@ght.network if you suspect any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Interfere with or disrupt the Service, including by introducing malware, excessive load, or automated abuse;
• Reverse engineer, decompile, or attempt to derive source code from the Service except as permitted by law;
• Use the Service to send unsolicited communications or to misrepresent your identity or affiliation;
• Export or share data from connected third-party services (including QuickBooks Online) in a way that violates that service’s terms.

4. Third-Party Integrations

The Service integrates with third-party platforms, including Intuit QuickBooks Online, Stripe, Google, and others. Your use of those services through OnlyTechs is also subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services, and disruptions in those services may affect the Service.

5. Data & Privacy

Our handling of personal and business data is described in our Privacy Policy, which is incorporated into these Terms by reference. You represent that you have all rights necessary to connect any account you link to the Service, including QuickBooks Online company files, and to allow the Service to access the data exposed by those connections.

6. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by Glass House Technologies, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended internal-business purpose while your authorization is in effect. Your use of the Service is also subject to our End User License Agreement.

7. Confidentiality

The Service exposes confidential business information, including customer data, financial records, and operational details. You agree to treat all non-public information accessed through the Service as confidential, to use it solely for authorized business purposes, and not to disclose it to any third party without GHT’s prior written consent.

8. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms, end of your engagement with GHT, or to protect the Service or its users. You may stop using the Service at any time. On termination, the rights granted to you under these Terms end immediately, and we may delete your account data subject to our retention obligations described in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLASS HOUSE TECHNOLOGIES, LLC, ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Glass House Technologies, LLC and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Cullman County, Alabama, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. The "Effective date" above reflects the latest revision. Material changes will be communicated through the Service or by email. Your continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
